Article X: Administrative Support.

Finances. OCLC will provide an annual appropriation from its budget for running ARC’s operations and its annual meeting. The support provided by OCLC to the ARC is similar to that it provides to the Global Council, as described in Articles IX and X of the Bylaws. The ARC shall develop and submit to OCLC an annual budget request. In addition, the ARC may seek grants in furtherance of its purposes with the approval of the Board of Trustees. The expenditure of funds budgeted or otherwise acquired shall be through OCLC's accounts payable, and shall be audited with the full OCLC financial system. Staff. ARC staff is employed by OCLC, and shall consist of an ARC Program Director, and such additional staff members as the ARC Program Director, the ARC Executive Committee, and/or OCLC Management shall deem necessary to carry out the work of the ARC. The ARC Executive Committee shall participate in the selection and annual performance evaluation of the ARC Program Director. The ARC Program Director shall have, subject to the direction of the ARC, the responsibility for conducting the day-to-day business matters of the ARC, including: A. Administering policies and programs; B. Attending and participating as a non-voting member in meetings of the ARC, the ARC Executive Committee, and Ad Hoc committees, except when matters concerning his/her employment are under consideration; C. Appointing and supervising such additional staff as approved by the ARC Executive Committee and the designated OCLC manager; D. Conducting such business and financial matters of the ARC as the ARC Executive Committee shall direct; E. Preparing income and expenditure reports for the ARC Executive Committee; F. Recording the proceedings of the ARC and ARC Executive Committee meetings, and preparing and distributing minutes; G. Acting as parliamentarian for ARC meetings as deemed appropriate by the Executive Committee; H. Keeping the ARC official membership roll, supervising the registration of Member Delegates, and calling the roll as required; I. Notifying ARC members of meetings and sending notices required by the ARC; J. Assisting in conducting elections and notifying officers and members of their election to office or appointment to committees, and maintaining a listing of existing committees and their members; K. Facilitating the movement of required notifications among and between the Board of Trustees, the Global Council, the ARC, the ARC Executive Committee, and OCLC staff; L. Editing publications and announcements as authorized by the ARC or the ARC Executive Committee; M. Preparing annual and special reports as the ARC Chair or ARC Executive Committee shall request.
